What is a confirmation statement?
A confirmation statement confirms that the information Companies House holds about a company is correct: its registered office, directors, shareholders, share capital, SIC code and people with significant control. It must be filed at least once every 12 months.
Also called: CS01, Annual return
According to GOV.UK, the statement can be filed up to 14 days after the review period ends, and the review period ends 12 months after the last statement date or, for the first, the date of incorporation. Filing costs £50 online or £110 by post. Directors may need to verify their identity with GOV.UK One Login before filing.
Changes to registered office or directors are reported separately, as they happen.
Worked example
Example · illustrative figures
A company’s last confirmation statement date was 1 June 2026. Its next review period ends 12 months later, on 1 June 2027, and the statement can be filed up to 14 days after that: by 15 June 2027.
If the company files early, on 1 March 2027, a new review period starts from that date.
How to read it
The statement confirms what Companies House already holds; it is not where most changes are reported. Changes to directors or the registered office are reported separately, when they happen. Share capital, shareholder details, the SIC code and people with significant control are confirmed or updated on the statement itself.
Common mistakes
- Confusing it with the annual accounts, which are a separate filing with their own deadline.
- Filing without checking the share capital and shareholder details, so the register and the books disagree.
- Leaving identity verification until the day of filing.
- Missing the date after filing early, because the review period moves.
How it shows in Nella
Nella’s Company Secretary keeps the confirmation statement date on your statutory timeline and flags where your books and the Companies House register disagree, such as share capital or SIC code. Nella does not file it. See company secretary in Nella.
