How does Nella keep your company’s statutory record?

Nella’s Company Secretary keeps your company’s statutory dates (annual accounts, the confirmation statement and identity verification), each with its period and whether it has been recorded as done. It flags where your books and the Companies House register disagree on share capital, year end or SIC code. Once the directors have decided a dividend, it prepares the board minute and a voucher for each shareholder. It files nothing.

The statutory record in one place.

Statutory timeline

Accounts, confirmation statement and identity verification, each with its date and period.

Register check

Share capital, financial year end and SIC code compared between your books and Companies House.

Filings you report

Recorded with the date you give. The record is yours inside Nella; nothing is filed.

Dividend paperwork

A working paper, each director’s own confirmation, then the minute and vouchers.

What it does not do

Stated plainly, because a figure you can trust is one whose limits you know.

  • Nella files nothing with Companies House and changes nothing on the register.
  • It papers dividend decisions only. Other board decisions are recorded by the directors.
  • A passed distributable-profit check is not permission to pay. Whether to pay, and how much, is the directors’ decision.
  • If a date has passed and no filing is recorded, Nella says the status is not held; it does not call the filing late.

Dates and dividend rules are set out by GOV.UK; see the sources below. More detail: Can AI keep my company’s statutory record?

Nella provides financial information and education, not accounting or tax advice. Nella shows you the numbers. When a question needs professional judgement, such as a filing or a tax decision, Nella says so and points you to a qualified accountant.

Where the data comes from

Nella connects to Xero, QuickBooks, Sage, FreeAgent. Nothing in your books changes unless you give permission in Nella.

How deeply it reads varies by platform — see the supported-platform table — and how your data is handled is set out in full.
